Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Tuli Technologies LLC ("Tuli", "we", "us", or "our") governing your access to and use of the Tuli website and platform services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.

Description of Services

Tuli provides an enterprise resource planning (ERP) platform that includes modules for leasing, facilities management, finance, sales, procurement, trading, and warehousing. Our services include:

  • Cloud-hosted ERP software platform
  • P9 low-code customization engine
  • API access for integrations
  • Technical support and documentation
  • Training and implementation services

Account Registration

To access certain features of our services, you must register for an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

Subscription and Payment

Access to Tuli services requires a paid subscription. By subscribing, you agree to:

  • Pay all fees in accordance with your subscription plan
  • Provide accurate billing information
  • Authorize us to charge your payment method for recurring fees

Fees are non-refundable except as expressly stated in your subscription agreement or required by law.

Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Transmit malicious code or interfere with our systems
  • Attempt unauthorized access to our systems or data
  • Reverse engineer or copy our software
  • Use our services in any manner that could damage or impair them

Intellectual Property

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and the P9 platform, are owned by Tuli Technologies LLC and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes in accordance with these Terms.

Your Data

You retain ownership of all data you submit to our platform ("Your Data"). You grant us a license to use Your Data solely to provide and improve our services. We will handle Your Data in accordance with our Privacy Policy.

You are responsible for maintaining backups of Your Data. While we implement robust data protection measures, we are not liable for data loss.

Confidentiality

Each party agrees to protect the confidential information of the other party with the same degree of care used to protect its own confidential information. This obligation survives termination of these Terms.

Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may perform scheduled maintenance and may experience unplanned outages. We will endeavor to provide advance notice of scheduled maintenance.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TULI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO TULI IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Tuli and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

Termination

Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of notice. Upon termination:

  • Your access to our services will be suspended
  • You must pay any outstanding fees
  • We will provide a reasonable period to export Your Data

Modifications

We may modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Continued use of our services after changes become effective constitutes acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be resolved in the courts of Abu Dhabi, UAE.

General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Tuli regarding our services.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without our prior written consent.
